This End User License Agreement (“Agreement”) governs your use of Lighthouse Apex (the “Software”), provided by Lighthouse Health & Wellness, PBC (“Provider”). By installing, accessing, or using the Software, you agree to be bound by this Agreement.
1. License Grant. Provider grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for your internal business purposes, in accordance with this Agreement.
2. Restrictions. You may not: (a) copy, modify, or create derivative works of the Software; (b) reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law; (c) sell, sublicense, rent, or lease the Software; (d) use the Software in violation of any applicable law, regulation, or third-party right.
3. Third-Party Services. The Software integrates with third-party services, including QuickBooks Online (provided by Intuit Inc.) and may include other services such as HubSpot, Google services, and others. Your use of those services is governed by their respective terms of service and privacy policies. Provider is not responsible for the availability, accuracy, or content of any third-party service. You are responsible for maintaining valid accounts and authorizations with each integrated service.
4. Your Data. The Software accesses, stores, and processes data on your behalf, including data retrieved from third-party services you authorize. You retain ownership of your data. Provider will use commercially reasonable efforts to safeguard your data but makes no warranty regarding its integrity, security, or availability.
5. Disclaimer of Warranties. THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PROVIDER DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
6. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE SOFTWARE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
7. Termination. Provider may terminate this Agreement and your access to the Software at any time, with or without cause. Upon termination, your right to use the Software ceases immediately. Sections 4 through 9 survive termination.
8. Governing Law. This Agreement is governed by and construed in accordance with the laws of California, without regard to its conflict of laws principles.
